Augusta wappnet sich vor unvorteilhafter Übernahme, Hudbay kauft zu

Kupfer-Developer Augusta Resource (T.AZC), 80%tiger Eigentümer des weltklasse, strategischen Assets Rosemont Copper, wappnet sich mit einem neuen Shareholder Rights Plan vor einer potentiellen Übernahme, die weit unter dem anvisierten Wert des Unternehmens/Projekts liegen könnte.

Mit erneuten Verzögerungen im Permitting Prozess sollte bei Augusta trotz des Festhaltens am Fahrplan weiter gerechnet werden. Das umfassende Genehmigungsverfahren für solche Großprojekte wie Rosemont bleibt im US-Staat Arizona eine heikle, komplexe und sehr zeitintensive Angelegenheit. Sobald von den Behörden grünes Licht für das strategische Projekt erfolgt, wird umgehend ein 'Game Changer' aktiviert: Eine komplette Neubewertung ist hochwahrscheinlich und der entscheidende Meilenstein würde auch den Weg für eine Übernahme ebnen.

Hinter den Kulissen brodelt es bekanntlich schon länger und die Spannung steigt im Big Picture weiter an. Polymetall-Produzent und Augusta-Großaktionär Hudbay Minerals (NYE.HBM) ging erneut auf Einkaufstour und erhöhte zwischenzeitlich das Engagement auf über 15% der o/s.

At this time of global market uncertainty, the Board believes that there is a much greater risk of a predatory acquisition timed to take advantage of share price weakness tied to fluctuations in the copper price. The Board believes that the Rights Plan's 15% triggering threshold will give the Board a substantially greater opportunity to run a value maximizing auction process in the event that the Company is put in play through a hostile take-over bid than would be the case if one or more shareholders held share positions approximating 20%

We understand the need to have a more level playing field if Augusta is put in play, especially in these difficult market conditions, ensuring that we have a real opportunity to run an auction and capture value for our shareholders. Übernahmespekulationen liegen schon lange auf der Hand. Der CEO von Hudbay hatte sich erst im Februar dazu ausgesprochen, dass der Produzent an konstruktiven Zukäufen interessiert sei. Weiter kann Hudbay auch die notwendige Kapitalstärke vorweisen, wird jedoch Großteile der verfügbaren, liquiden Mittel in die zwei amtierenden Hauptprojekte investieren..
